BY USE OF THIS PRODUCT, RESEARCHER AGREES TO BE BOUND BY THE TERMS OF THIS LIMITED USE LABEL LICENSE. If researcher is not willing to accept the terms of this label license, and the product is unused, Monod Bio will accept return of the unused product and provide researcher with a full refund.
Researcher may use this product for internal research for the benefit of the researcher only; no sale, transfer or commercial use of the product or any derivatives thereof is allowed. Commercial use shall mean, but is not limited to: (a) providing a service, information, or data to a third party for financial gain; (b) use in the manufacture of products for sale or transfer to third parties; (c) use of the product or its derivatives for therapeutic, diagnostic, or prophylactic purposes, or to manufacture other products for such purposes; (d) sale, resale, leasing, licensing, offering for sale, distributing or importing, whether or not for research purposes; or (e) filing any patent application or other intellectual property registration that covers or discloses the product or its derivatives (including the sequence thereof). Researcher shall comply with all applicable laws and regulations in connection with the use of the product. The product may not be used in humans.
Except for creating fusion constructs with the intact full and split LuxSitTM Pro luciferase sequences, researcher shall have no right to modify or otherwise create variations, derivatives or improvements of the product or any of the Monod Bio LuxSitTM Pro assay reagents (including the LuxSitTM Pro luciferase sequences thereof). No other use or transfer of this product is authorized without the prior express written consent of Monod Bio.
Researcher may only use the product or any of the Monod Bio LuxSitTM Pro assay reagents in conjunction with the Monod Bio LuxSitTM Pro assay reagents.
Except for confirmatory fusion construct sequencing, researcher shall not attempt to reverse engineer, analyze, deconstruct or in any way determine the structure or composition of the product or any of the Monod Bio LuxSitTM Pro assay reagents or cause a third party to do the same.
Researcher may not share the product sequence or composition information with any other party.
Researcher agrees to acknowledge Monod Bio as the source of the product in all research, academic or scholarly publications that reference the product. Researcher acknowledges that Monod Bio retains all right, title and interest in its trademarks, including with respect to the product, and all goodwill therein (including “LuxSit”). Researcher agrees not to use such trademarks in any way without Monod Bio’s prior written consent.
With respect to any uses outside this label license, including any diagnostic, therapeutic, prophylactic, or commercial uses, please contact Monod Bio for supply and licensing information. THE PRODUCT IS PROVIDED “AS IS” AND MONOD BIO MAKES NO, AND HEREBY DISCLAIMS ALL, REPRESENTATIONS OR WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING FOR MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, WITH REGARD TO THE PRODUCT.
In no event shall Monod Bio be liable for any use of the product by researcher. Researcher agrees to defend, indemnify, and hold harmless Monod Bio and affiliates and their respective officers, directors, employees and agents from any loss, claim, injury, damage, expense, or liability (including attorney’s fees), of any kind or nature arising from or in connection with researcher’s use, handling or storage of the product, negligence, intentional misconduct, breach of this limited use label license or violation of any applicable law.
Researcher’s right to use the product will terminate immediately if researcher fails to comply with this label license. Researcher shall, upon such termination, destroy all product and derivatives thereof and any components of the foregoing in researcher’s possession or control and notify Monod Bio of such in writing.

The terms of this label license shall be governed under the laws of the State of Washington, USA.
